End-User License Agreement

Itzdata Solutions — ITZ Organiser

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Itzdata Solutions ("Company", "we", "us", or "our") governing your use of the ITZ Organiser application and its associated support utilities (collectively, the "Software").

By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Software solely for internal business operations within your organisation, subject to the terms of this Agreement.

2. Description of Software

ITZ Organiser is a web application that integrates with QuickBooks Online (QBO) to assist with timesheet management, bank transaction categorisation, and invoice generation. The Software connects to QuickBooks Online via Intuit's REST API using OAuth 2.0 authentication.

The Software includes support utilities such as the QBO Sandboxer, a command-line tool used to copy QBO data from a production company to a sandbox company for development and testing purposes. These utilities operate under the same terms as the main application.

3. Restrictions

You agree not to:

• (a) sublicense, sell, lease, or distribute the Software to third parties;
• (b) use the Software to process data for any organisation other than your own;
• (c) reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law;
• (d) use the Software in any manner that violates applicable laws, regulations, or the Intuit Developer Terms of Service;
• (e) remove or alter any proprietary notices, labels, or marks in the Software;
• (f) use the Software to store, transmit, or process data in violation of data protection laws applicable to your jurisdiction.

4. QuickBooks Online Integration

The Software accesses your QuickBooks Online company data through Intuit's API. By using the Software, you acknowledge that:

• (a) you authorise the Software to read accounting data (customers, vendors, invoices, items, bills, purchases, accounts, and tax codes) from your QBO company;
• (b) you authorise the Software to create Bill and Purchase records and upload file attachments in your QBO company;
• (c) you are responsible for maintaining the security of your OAuth 2.0 credentials;
• (d) Intuit's terms of service govern your use of QuickBooks Online, and this Agreement does not modify those terms;
• (e) we are not responsible for any changes, outages, or limitations imposed by Intuit on their API or platform.

5. Data and Security

• (a) The Software stores QBO data locally in a SQLite database on the machine where it is installed.
• (b) OAuth 2.0 tokens are stored locally and are not transmitted to any third party.
• (c) You are responsible for securing the machine, database files, and network environment where the Software operates.
• (d) We do not collect, transmit, or share your data with any external parties.

6. Intellectual Property

The Software and all associated documentation, source code, and materials remain the exclusive property of Itzdata Solutions. This Agreement does not transfer any ownership rights to you.

7. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or compatible with all systems or configurations. We do not warrant the accuracy, completeness, or reliability of any data read from or written to QuickBooks Online through the Software.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Itzdata Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Software.

Our total aggregate liability under this Agreement shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim, or AUD $100, whichever is greater.

9. Termination

• (a) This Agreement is effective until terminated.
• (b) We may terminate this Agreement at any time by providing written notice.
• (c) You may terminate this Agreement by ceasing all use of the Software and deleting all copies.
• (d) Upon termination, you must cease all use of the Software, revoke any active OAuth 2.0 authorisations, and delete all locally stored QBO data.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.

11. Changes to This Agreement

We reserve the right to update or modify this Agreement at any time. We will provide notice of material changes by updating the effective date at the top of this document. Your continued use of the Software following any changes constitutes acceptance of the revised Agreement.
